Terms & Conditions
Please read these Terms and Conditions carefully before using FarmSiddhi's platform, placing orders, or entering into any commercial relationship with us.
1. Definitions
In these Terms and Conditions, the following definitions apply:
- FarmSiddhi, we, us, or our refers to FarmSiddhi, a registered agricultural export entity operating under Indian law.
- Buyer or you refers to any individual, company, or entity purchasing products or services through our platform or commercial agreements.
- Farmer Partner refers to any registered farmer or farmer-producer organisation in FarmSiddhi's verified network.
- Products refers to all agricultural commodities, processed foods, and related goods offered by FarmSiddhi.
- Platform refers to the FarmSiddhi website, digital buyer portal, and associated digital services.
- Order refers to any confirmed purchase request submitted by a Buyer.
2. Acceptance of Terms
By accessing our Platform, placing an order, signing a purchase agreement, or otherwise engaging with FarmSiddhi's services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions, along with our Privacy Policy, Refund Policy, and Shipping Policy.
These Terms govern all transactions between FarmSiddhi and its Buyers for both domestic and international trade.
3. Orders & Order Confirmation
- Orders may be placed through the FarmSiddhi website, via email to our export team, or through a signed Purchase Order.
- All orders are subject to availability of stock and quality-tested inventory.
- An Order is deemed confirmed only upon receipt of FarmSiddhi's written acceptance (proforma invoice or order confirmation email) and receipt of the agreed advance payment.
- FarmSiddhi reserves the right to decline or cancel any order at its discretion, with a full refund of any advance received.
- For export orders, order specifications (grade, packaging, lot size, destination port) must be confirmed in writing at the time of ordering. Changes post-confirmation may attract additional charges and revised timelines.
4. Pricing & Payment
- All prices are quoted in Indian Rupees (INR) for domestic orders and in US Dollars (USD) for international export orders unless otherwise stated.
- Prices are subject to change without notice due to commodity market fluctuations. Confirmed orders are locked at the agreed proforma invoice price.
- Payments must be made as per the payment terms agreed in the proforma invoice.
- Wire transfer (SWIFT/RTGS/NEFT), Letter of Credit, and online payment are accepted modes. Payment details will be provided in the proforma invoice.
- Late payments may attract interest at 1.5% per month on the outstanding amount from the due date.
For export orders, standard payment terms are 70% advance upon order confirmation and 30% against Bill of Lading (BL) copy. Letter of Credit (LC at sight) accepted for orders above USD 50,000.
5. Quality Assurance & Specifications
FarmSiddhi guarantees that all products dispatched conform to the quality specifications agreed in the purchase contract. Our quality assurance process includes:
- Pre-shipment inspection and NABL-accredited laboratory testing
- Certification of analysis issued with each consignment
- Compliance with EU, US, Gulf, and international food safety standards as applicable to destination market
Buyers are entitled to nominate a third-party inspection agency (at buyer's cost) for pre-shipment inspection. FarmSiddhi will facilitate access. Results of third-party inspection that identify non-conformance will be addressed as per the Refund Policy.
6. Intellectual Property
All content on the FarmSiddhi Platform — including text, images, logos, branding, product descriptions, and data — is the exclusive intellectual property of FarmSiddhi or its licensors. No content may be reproduced, distributed, or used for commercial purposes without prior written consent.
7. Limitation of Liability
FarmSiddhi's total liability in connection with any order shall not exceed the value of the goods supplied under that specific order. FarmSiddhi shall not be liable for:
- Indirect, consequential, or incidental losses
- Loss of profit, business, or goodwill
- Losses arising from delays caused by circumstances beyond our reasonable control (Force Majeure)
- Changes in commodity prices or market conditions after order confirmation
8. Force Majeure
FarmSiddhi shall not be held liable for failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to: natural disasters, government actions, war, pandemic, port strikes, crop failure, or regulatory changes affecting agricultural exports. In such events, FarmSiddhi will notify the Buyer promptly and propose alternative arrangements.
9. Governing Law & Dispute Resolution
These Terms and all disputes arising from
them shall be governed by the laws of India. Disputes shall first be attempted
to be resolved through good-faith negotiation. If unresolved within 30 days,
disputes shall be referred to arbitration under the Arbitration and
Conciliation Act, 1996, with the seat of arbitration in Mumbai, India.
10. Amendments
These Terms and all disputes arising from them shall be governed by the laws of India. Disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Mumbai, India.
